Your agreement with Codowave

By signing up for Codowave or using any part of the service, the dashboard, the agents, the API, this website, you agree to these Terms. If you're using Codowave on behalf of a company, you confirm you have the authority to bind that company.

We may update these Terms. If we make a material change, we'll let you know in-app or by email at least 14 days before it takes effect. Continuing to use Codowave after that means you accept the new version.

What Codowave is

Codowave assigns an autonomous AI engineer to your project. You connect a repository and tracker, we provision an isolated container, and our agents pick issues, plan changes, write code, run tests, and ship working code.

Agents are autonomous but bounded, they only act on the repositories you authorize, only execute inside their own container, and only push branches/PRs you've granted scope for via the Codowave GitHub App.

Your account and your repos

  • You are responsible for everything that happens under your account.
  • Keep your credentials secure. If you suspect unauthorized access, email security@codowave.com immediately.
  • You must comply with GitHub's Terms of Service and Acceptable Use Policies for any repository you connect.
  • You may revoke Codowave's GitHub access at any time. Existing agents stop within minutes; we purge container state per the Privacy Policy.

Plans, issue allowances, and billing

Codowave usage is measured in issues, one issue = the agent picks up a tracker issue (or a scheduled-scan finding), works it end-to-end, and opens a pull request. Each plan includes a fixed monthly issue allowance that resets on your renewal date. Plan tiers and current allowances are published on the pricing page.

Subscriptions auto-renew at the price published when you signed up. Billing runs through Stripe. You can cancel any time from the dashboard, your plan stays active until the end of the current billing period, and unused issues don't carry over.

Allowances are hard caps. When the agent has opened the last issue your plan includes for the period, additional issues are deferred until the next renewal, no automatic overage billing, no surprise charges. You can upgrade at any time to lift the cap immediately; the upgrade is prorated against the rest of the period.

Annual plans are billed up front. Refunds within 14 days of an annual purchase are honored, prorated for usage.

Auto-decomposition of large issues

Some issues describe more work than a single agent run can reasonably handle in one pass, for example, a refactor touching dozens of files, or a feature that spans several subsystems. To keep agent runs predictable, focused, and economical, Codowave automatically decomposes oversized issues into smaller sub-issues before the agent begins work.

Decomposition happens up front: when an issue's estimated scope exceeds the per-issue resource ceiling, the agent splits it into a set of smaller, independently shippable sub-issues, each with its own scope and acceptance criteria, and works through them one at a time. You can review, edit, or rearrange the sub-issue plan from the dashboard before any code is written.

Each sub-issue counts toward your monthly issue allowance. This protects against unbounded usage on very large changes and keeps your monthly bill predictable. Some extremely large refactors may still require multiple cycles or a higher plan tier to complete in a single billing period.

The per-issue resource ceiling is set so that the great majority of normal-size issues fit a single sub-issue. We tune it over time and will publish material changes in advance.

What agents will and won't do

Codowave's agents are powerful but not infallible. They can produce code that compiles, passes tests, and still has bugs. By using Codowave you accept that:

  • You are responsible for reviewing or trusting agent output before relying on it in production.
  • Auto-merge, when enabled, only fires after CI is green and any review-rules you configured pass. Codowave will not bypass branch protection.
  • We make no guarantee that the agent's plan, code, or test interpretation is correct in any specific case.

Use the dry-run mode and per-repo budgets to keep agents on the rails while you build trust.

Intellectual property

You own your code, including everything Codowave's agents write inside your repository. We claim no rights to your repos, your issues, or the PRs the agents open.

Codowave (the brand, the dashboard, the agent system, this website) is owned by us. You don't acquire any IP rights to Codowave by using the service.

Acceptable use

You may not use Codowave to:

  • Build or distribute software designed to harm, harass, surveil, or defraud others.
  • Generate, host, or train models on illegal content, including CSAM and content that infringes third-party IP.
  • Reverse-engineer Codowave, scrape it at scale, or use it to train a competing model.
  • Bypass plan limits, the monthly issue allowance, or any rate limit we apply.
  • Operate Codowave on a repo you do not have the right to modify.

We may suspend or terminate accounts that violate these rules. Egregious abuse may be reported to the relevant authorities.

Telemetry and analytics

Codowave collects product-usage analytics (page views, feature interactions, agent operational metrics) and crash/error diagnostics so we can detect, prioritise, and fix problems before you have to report them. Our current processors for this data are PostHog (analytics) and Sentry (error monitoring), both listed in the sub-processors section of our privacy policy.

We do not transmit your repository source code, environment variables, model prompts, or authentication tokens to these processors. Headers and request bodies that could contain secrets are scrubbed before each event is sent. By using the service you consent to this collection on the terms described in the privacy policy.

Termination

You can terminate your account at any time from the dashboard. We purge connected-repo memory and container state within 30 days. Billing records are kept as long as legally required.

We may suspend or terminate accounts for repeated abuse, security incidents, or non-payment. We'll give notice when possible.

Warranty disclaimer

Codowave is provided "as is." To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant the service will be uninterrupted, error-free, or that any specific bug or feature request will ship on a timeline.

Limitation of liability

To the maximum extent permitted by law, Codowave's liability under these Terms is capped at the greater of (a) the amount you paid for the service in the 12 months preceding the claim, or (b) USD 100. We are not liable for indirect, incidental, consequential, or punitive damages.

Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Any dispute will be resolved in the federal or state courts of Delaware, and you consent to that jurisdiction.
